OMD Systems develops advanced technologies for defence and security applications. As we expand our operations and deepen our work with government, NATO-aligned, and international defence partners, we are looking for a Legal Counsel with international law expertise to join our team and strengthen the legal foundation of our growing cross-border business.
This role suits a legal professional who thrives in a fast-paced R&D and defence-tech environment, has strong grounding in international law, and is comfortable navigating regulatory complexity across multiple jurisdictions (Ukraine, EU, UK). Responsibilities * Provide day-to-day legal support to internal teams across commercial, corporate, regulatory, and operational matters spanning Ukrainian, Polish/EU, and international frameworks. * Draft, review, and negotiate a wide range of contracts in English (and Ukrainian/Polish where relevant), including: * NDAs, MSAs, SaaS and licensing agreements * supplier, manufacturing, and distribution contracts * R&D and technology transfer agreements * defence procurement contracts with government bodies, NATO-aligned agencies, and state customers across jurisdictions * Advise on international defence and dual-use goods regulation, including Ukrainian export control rules, EU Dual-Use Regulation, UK Export Control Order, and ITAR/EAR awareness, including interaction with relevant authorities. * Support compliance with international data protection frameworks (Ukrainian law, GDPR) for cross-border cooperation. * Conduct legal due diligence for partnerships, suppliers, investors, and strategic transactions across jurisdictions. * Advise on intellectual property matters under international and national law: protection strategy, patents, trademarks, trade secrets, and IP clauses in cross-border commercial agreements. * Support corporate governance: entity management, corporate resolutions, shareholder matters, and structuring of cross-border entities (Ukraine, Poland/EU, and beyond). * Assist with employment and contractor matters under Ukrainian and/or Polish labour law, including agreements, policies, and remote/hybrid work arrangements. * Prepare legal memos, risk assessments, and internal guidelines on cross-jurisdictional matters. * Monitor relevant legislative and regulatory developments internationally (defence, drones/UAVs, AI, export controls, sanctions, martial-law-related regulations) and assess their impact on the business. * Work with external counsel on specialised matters and cross-border issues spanning Ukraine, EU, UK, and US. * Collaborate closely with engineering, product, commercial, and finance teams to embed legal best practices into daily operations.
Requirements * 5+ years of relevant legal experience with a strong focus on international law, in a law firm, in-house legal team, or consultancy. * Legal qualification is a strong plus. * Solid knowledge of international contract law, cross-border commercial law, and experience structuring transactions across jurisdictions. * Solid understanding of at least one of the following: international defence procurement, export control / dual-use regulation, international data protection, or IP law. * Excellent drafting and negotiation skills in English.. * Strong analytical mindset, attention to detail, and ability to translate complex cross-jurisdictional legal concepts into clear business guidance. * Comfortable working independently, managing multiple priorities, and operating in a fast-moving R&D and product environment.
Nice to have: * Experience working with defence, aerospace, drones/UAVs, or other regulated hardware industries. * Familiarity with defence procurement procedures and government tenders in Ukraine, Poland, or the EU. * Experience with export control frameworks across multiple jurisdictions (Ukraine, EU Dual-Use Regulation, ITAR/EAR). * Background in AI, or cybersecurity law. * Experience supporting startups or scale-ups through funding rounds and international expansion. * Understanding of sanctions regimes and martial-law-related regulations affecting defence-tech companies.
